The parties’ roles and future access
This proposed framework covers future collaborations initiated by a business brand. It does not currently launch a campaign or collect payment. Unless a separate mandate is accepted, the brand is the advertiser commissioning the creator; Loocas provides matching and organisational services and does not sign the collaboration for them. This description does not displace statutory responsibilities associated with the role actually performed. No Loocas commission is due until its amount, calculation basis, payer and due date have been separately presented and accepted.
A written brief before work begins
Selecting a directory profile, sending a message or displaying a fee does not place an order. Every collaboration requires a written, dated agreement between the parties, regardless of value. This goes beyond the statutory threshold for a written contract and provides a clear framework, including for gifted products. The accepted version includes at least:
- Each party’s identity, contact details and tax-residence country; the representative’s authority.
- Exact product and variant, quantity, value of the free product and delivery arrangements.
- Deliverables, formats, timetable, requested tests and publication channels.
- Any fee, taxes, authorised expenses, payment dates and included revisions.
- Granted rights, media, territory, duration, credit and commercial disclosures.
- Cancellation, handling disagreements and mutual obligations.
Two options, a mandatory free product
The brand and creator choose either an agreed creator fee plus a free product, or a free product without a fee. In both cases, the product is supplied free to the creator and its value is stated; this is not a disguised loan. The gift cannot be reclaimed because a test is unfavourable. Unless another schedule is accepted, a paid collaboration provides for a 30% advance invoiced on acceptance and the balance invoiced following compliant delivery. Each invoice is payable within thirty days. Payment is not conditional on a rating, positive statements, views or sales. Social-platform revenue remains separate.
Product, safety and delivery
The brand confirms it is authorised to supply the product and provides necessary use and safety information. It covers tracked shipping, packaging and, unless expressly agreed otherwise, import costs needed for the agreed receipt. The creation timetable starts when a conforming, usable product is received. Errors, loss, damage, safety alerts and late delivery are addressed before publication is requested. Creators may refuse dangerous or unlawful use. A private address received for shipping cannot be reused for other purposes.
The brand funds the work, not the opinion
The brand accepts an honest presentation, whether positive, nuanced or negative. It may require compliance with a lawful brief and correction of a substantiated factual error; it may not require a reservation to be removed solely because it harms the product’s image. The creator must not invent an experience or claim. Editorial review concerns facts, compliance and rights, never the purchase of enthusiasm. Commercial-transparency obligations and the editorial charter form part of the collaboration agreement.
Delivery, feedback and acceptance
Unless more favourable terms are agreed, the brand has seven working days to accept delivery or raise precise reservations linked to the brief. A reminder is sent at least two working days before that period ends. If no reasoned reservation is raised after the reminder, deliverables are deemed compliant for payment purposes; no additional exploitation rights arise. One consolidated feedback round is included by default. A non-conformity attributable to the creator must still be corrected; changes in preference, scope or product require a priced amendment. A negative opinion is not a non-conformity.
Exploitation, likeness and media
Payment and delivery of the product do not automatically transfer copyright. The collaboration agreement separately identifies reproduction, communication and any permitted adaptation rights, their purpose, media, territory and duration. It specifies likeness permissions, music, credit and withdrawal terms. Use on Loocas, a store product page, the scanning app or an in-store display must be provided for. Rehosting, translation, substantial cropping, paid advertising and advertising access to the creator’s social account are not included by default. An unspecified use cannot be presumed authorised.
Cancellation and incurred costs
Cancellation is notified in writing as soon as possible. Before work starts, advances are returned less only previously authorised, evidenced and non-recoverable external costs. Once work has begun, the parties settle work actually performed in accordance with the brief and accepted expenses, within the agreed budget; no additional flat cancellation penalty is presumed. The treatment of an already gifted product is agreed without penalising negative criticism. A safety recall may require its return, arranged and paid for by the brand. In case of fault or a dispute over amounts, each party retains its rights and remedies.
Brand complaints and human examination
A brand may submit an evidenced complaint about content or a review free of charge. Initial handling and internal appeals or reconsideration connected with rights remain free, with the human involvement required by the applicable framework. Campaign funding, a creator’s fee or provision of a product confers no right to secure removal of lawful criticism.
Only a voluntary supplementary human expert service with a purpose distinct from the complaint and legally protected appeal may be quoted at €49 excluding VAT per case. Acceptance is express, without a subscription or automatic charge. Loocas may neither require this service to access an appeal nor rename a mandatory appeal in order to charge for it. If free handling is in doubt, or the services cannot genuinely be separated, the request remains free.
Fees never depend on the outcome and guarantee no removal. An acknowledged Loocas error in the case results in a full refund of the corresponding expert-service fees. Correcting an error and taking legally required action are not conditional on paying for the expert service. Commercial arrangements remain separate from moderation criteria and the author’s rights.
Publication, disputes and responsibility
An accepted collaboration does not remove the need to check disclosures, rights and restricted sectors. The commercial nature remains visible in authorised reuses. The brand and creator keep records of the brief, versions and permissions. Complaints use the contract’s contact details and may be reported to Loocas for platform-related matters. Loocas guarantees neither audience, sales nor another party’s conduct and cannot exclude statutory responsibilities arising from its role. The general terms govern Loocas services; the collaboration agreement governs the creator’s work, subject to applicable law.
